Terms & Conditions
Effective: 14 November 2025
These Terms & Conditions ("Agreement") apply to statements of work, proposals, and estimates issued by KW CARDIAC LTD ("Supplier") and accepted by the client ("Customer").
Scope of services
The Supplier provides mobile app development, UX/UI design, product strategy, ASO, and related consultancy services as described in the applicable statement of work (SOW). Any changes require a mutually agreed change request.
Fees & payment
- Fees are invoiced in GBP unless otherwise stated.
- Invoices are payable within 15 days of the invoice date.
- Late payments may incur statutory interest and can pause delivery until resolved.
Client responsibilities
Customer will provide timely access to stakeholders, assets, test environments, and approvals necessary for delivery. Delays attributable to Customer may extend timelines.
Intellectual property
Upon full payment, project-specific deliverables transfer to Customer subject to third-party licences. Supplier retains ownership of pre-existing IP, methodologies, templates, and tooling.
Confidential information
Both parties agree to keep confidential information secure, disclose it only to personnel with a need to know, and use it solely for performing the Agreement.
Data protection
Each party shall comply with applicable data protection legislation, including the UK GDPR and Data Protection Act 2018. When Supplier acts as a processor, a separate Data Processing Addendum applies.
Warranties
Supplier warrants that services will be performed with reasonable skill and care. Except as expressly provided, no other warranties (including implied warranties of merchantability or fitness for purpose) apply.
Limitation of liability
Supplier's total liability arising out of or in connection with the Agreement shall not exceed the total fees paid under the relevant SOW in the 12 months preceding the claim. Neither party is liable for indirect or consequential loss.
Force majeure
Neither party is liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, power failures, labour disputes, or government actions.
Termination
Either party may terminate the Agreement for uncured material breach with 30 days' written notice, or immediately where permitted by law. Upon termination, Customer will pay for work completed up to the effective date.
Governing law & jurisdiction
This Agreement is governed by the laws of England and Wales. The courts of London have exclusive jurisdiction.

All notices shall be delivered to KW CARDIAC LTD, 23 Castlebar Road, Ealing, London W5 2DL, or via email to devops@kwcardiacltd.digital, and to the Customer's notice address stated in the SOW.
